Warranty / Terms & Conditions

These Terms & Conditions include the SheShed Product Warranty and form a legally binding agreement between Code Group Limited trading as SheShed New Zealand ("SheShed") and its customers. These Terms & Conditions are referenced throughout the customer purchase journey, including on our website, quotations, invoices, order confirmations, and other sales documentation.

By requesting a quotation, placing an order, paying a deposit, making payment for a Product, or otherwise purchasing a Product from SheShed, the Customer acknowledges that they have had a reasonable opportunity to review these Terms & Conditions and agrees to be bound by them.

We have included plain English explanations to help customers understand these Terms, available by clicking the (💡) icon below each clause. These explanations are provided for convenience only and do not form part of the contract. If there is any inconsistency between an explanation and the Terms, the Terms prevail.

Definitions

In these Terms and Conditions, "SheShed", "She Shed", "we", "our", and "us" mean Code Group Limited trading as SheShed New Zealand.

1. Payment

The Customer agrees to pay SheShed in accordance with the following payment terms:

  1. Full payment of the purchase price is required before the Product will be dispatched.
  2. Where immediate dispatch is not available, a deposit equal to fifty percent (50%) of the order value may be required to secure and allocate stock to the Customer's order. This may apply where:
    1. the Customer requests a delay in delivery or dispatch;
    2. the Product is in transit and not yet available for immediate dispatch; or
    3. the Product is a special-order, customised, or backordered item.
  3. If the Customer cancels or terminates an order before full payment has been made, SheShed may charge a restocking fee equal to ten percent (10%) of the order value to recover administrative, supplier, and restocking costs reasonably incurred.
  4. If the Customer fails to comply with these payment terms, SheShed may, without limiting any other rights or remedies available to it:
    1. delay or suspend dispatch of the Product;
    2. withdraw any promotional pricing, discounts, free shipping offers, or other special offers previously applied to the order; and/or
    3. require payment in full before undertaking any further processing, work, delivery, or performance of the order.
  5. Legal and beneficial ownership of the Product remains with SheShed until all amounts owing in relation to the order have been paid in full.

Full payment is required before your cabin is dispatched. In some situations, such as when stock is in transit, on backorder, specially ordered, or when you request a delayed delivery, we may require a 50% deposit to secure your order.

If you cancel your order before paying in full, a restocking fee may apply to cover costs already incurred. If payment terms are not met, we may delay delivery, remove promotional offers, or require payment in full before continuing with your order.

Ownership of the cabin remains with SheShed until all amounts owing have been paid in full.

2. Delivery

All delivery, installation, and lead times are estimates only. While SheShed will make every reasonable effort to meet estimated timeframes, we are not liable for delays caused by events outside our reasonable control, including supplier delays, freight or shipping disruptions, material shortages, labour shortages, severe weather, natural disasters, government actions, import restrictions, industrial disputes, port congestion, or other force majeure events. In such circumstances, SheShed may suspend, postpone, amend, partially fulfil, or cancel delivery obligations without liability to the extent permitted by law. The Customer acknowledges that imported building products are subject to international supply chain risks and delivery estimates may change from time to time.

  1. Shipping and delivery are arranged through independent freight carriers. Unless otherwise stated, quoted freight charges include delivery to the Customer's property and Hiab crane unloading.
  2. Any failed delivery, aborted delivery, re-delivery, waiting time, extended unloading time, or other additional freight services caused by site conditions, restricted access, Customer requests, or Customer unavailability may incur additional charges. Any such charges imposed by the freight carrier may be passed on to the Customer.
  3. The Customer is responsible for ensuring that delivery vehicles, including large 6-wheel or 8-wheel trucks where required, have safe and adequate access to the delivery location.
  4. If site access is restricted or unsuitable for the delivery vehicle, the Product may be delivered to the nearest reasonably accessible location, including roadside delivery, and the Customer will be responsible for transferring the Product to the final installation site.
  5. SheShed will discuss an anticipated delivery timeframe with the Customer and will make reasonable efforts to have stock available for dispatch within that timeframe. If the requested delivery timeframe changes, SheShed cannot guarantee immediate dispatch and additional lead times may apply.
  6. SheShed will keep the Customer informed of any material changes to estimated delivery timelines as information becomes available.
  7. Quoted freight charges apply to standard delivery locations within the stated region. Additional charges may apply for deliveries to remote locations, offshore islands, areas with limited freight services, sites with restricted access, or where special delivery arrangements are required. Any such additional charges will be communicated to the Customer before dispatch where reasonably practicable.

Delivery dates are estimates, not guaranteed dates. We will do our best to meet the timeframe discussed with you, but delays can happen due to freight issues, shipping delays, supplier delays, weather, port congestion, or other events outside our control.

Delivery is handled by independent freight carriers and usually includes Hiab unloading to your property. You are responsible for making sure the delivery truck can safely access the site. If access is restricted, the cabin may be delivered to the nearest suitable location, such as the roadside, and you may need to move it from there.

Extra freight charges may apply for failed deliveries, waiting time, remote locations, restricted access, or special delivery requirements.

3. Site Suitability, Compliance and Consents

The Customer is solely responsible for determining whether the Product is suitable for their intended use and site conditions. The Customer acknowledges and agrees that:

  1. SheShed supplies kitset buildings and cabins only unless expressly stated otherwise in writing;
  2. The Customer is solely responsible for obtaining and maintaining all required building consents, resource consents, permits, approvals, licences, engineering certifications, inspections, code compliance requirements, and any other approvals required by local councils, territorial authorities, government agencies, body corporates, or other regulatory bodies;
  3. SheShed makes no representation or warranty that any Product complies with the Customer's local council requirements, building regulations, zoning restrictions, covenants, land-use requirements, consent conditions, or insurance requirements;
  4. The Customer is solely responsible for ensuring the Product, its location, installation method, intended use, occupancy, and completed construction comply with all applicable laws, regulations, codes, standards, council requirements, health and safety obligations, insurance requirements, and other compliance obligations;
  5. Any plans, specifications, drawings, illustrations, examples, recommendations, or advice provided by SheShed are for general guidance only and do not constitute engineering, architectural, planning, legal, surveying, compliance, insurance, or professional advice;
  6. The Customer remains fully responsible for engaging suitably qualified professionals where required.

It is your responsibility to make sure the cabin is suitable for your property and intended use, and to obtain any consents, permits, approvals, inspections, or certifications that may be required.

We supply the cabin kitset, but we cannot guarantee that it will meet the specific council, zoning, covenant, health and safety, insurance, or compliance requirements that apply to your site or intended use. Any plans, drawings, examples, recommendations, or advice we provide are intended as general guidance only. Where specialist advice is needed, such as engineering, planning, legal, compliance, or insurance advice, it is your responsibility to engage suitably qualified professionals.

4. DIY Installation

Where a Product is supplied as a DIY kitset, the Customer accepts full responsibility for:

  1. Site preparation
  2. Foundation design and construction
  3. Ground conditions and drainage
  4. Assembly and installation
  5. Structural anchoring
  6. Electrical, plumbing and other services
  7. Compliance with all building codes, standards and consent requirements
  8. Ongoing maintenance and weather protection

The Customer acknowledges that the Product is supplied as a collection of components requiring assembly and that the final structural performance, weather-tightness, durability and compliance of the completed structure depend upon proper assembly, installation, foundation design, site conditions and maintenance, all of which are outside SheShed's control. SheShed shall not be liable for any loss, damage, defect, failure, compliance issue, structural issue, weather-tightness issue, injury, delay, cost or expense arising directly or indirectly from:

  1. Incorrect assembly
  2. Failure to follow supplied instructions
  3. Modifications or alterations to the Product
  4. Inadequate foundations
  5. Site-specific conditions
  6. Failure to obtain required consents or approvals
  7. Installation by the Customer or any third-party contractor

Where SheShed recommends or introduces a third-party installer, contractor, builder or tradesperson, such recommendation is provided as a courtesy only. Any engagement is solely between the Customer and the contractor. SheShed assumes no responsibility or liability for the acts, omissions, workmanship, delays, conduct, negligence or contractual obligations of any third-party contractor.

If you are assembling the cabin yourself, or using your own builder or installer, you are responsible for site preparation, foundations, drainage, assembly, compliance, services, and ongoing maintenance.

The strength, durability, weather-tightness, and compliance of the finished building depend on how it is installed and maintained. Because these factors are outside our control, we cannot be responsible for issues caused by incorrect installation, modifications, inadequate foundations, site conditions, or failure to obtain required approvals.

If we recommend a builder or tradesperson, that recommendation is provided as a courtesy only. Any agreement is between you and that contractor, and we are not responsible for their workmanship, conduct, or performance.

5. Inspection, Risk and Claims

The Customer must inspect the Product immediately upon delivery. Any visible freight damage, shortages, or delivery discrepancies must be noted on the carrier's delivery documentation and reported to SheShed within forty-eight (48) hours of delivery. Any concealed damage or missing components must be reported to SheShed within seven (7) days of delivery together with supporting photographs.

The Customer must inspect all components within fourteen (14) days of delivery. Claims relating to missing parts, manufacturing defects, shortages, or incorrect components must be made in writing within fourteen (14) days of delivery and must include photographs and supporting evidence.

Risk in the Product passes to the Customer immediately upon unloading at the delivery location or collection from SheShed's premises, whichever occurs first. Title to the Product remains with SheShed until the Product has been paid for in full and all amounts owing by the Customer have been received.

Following delivery or collection, the Customer is responsible for:

  1. safe unloading;
  2. site access;
  3. storage;
  4. security;
  5. protection from weather; and
  6. handling of the Product.

SheShed shall not be responsible for any loss, damage, theft, deterioration, weather exposure, or other harm occurring after risk has passed to the Customer.

Minor cosmetic imperfections, natural timber characteristics, timber movement, shrinkage, swelling, knots, grain variation, resin bleed, checking, splitting, and other natural characteristics of timber do not constitute defects.

In relation to any verified manufacturing defect, missing component, shortage, or supply error, SheShed's sole obligation shall be, at its discretion:

  1. replacement of the affected component;
  2. repair of the affected component; or
  3. refund of the value of the affected component.

To the maximum extent permitted by law, SheShed shall not be liable for consequential costs arising from any defect, shortage, supply error, or delayed replacement component, including labour costs, accommodation costs, project delays, contractor costs, lost income, financing costs, alternative accommodation costs, or indirect losses.

The notification periods set out in this clause are intended to assist SheShed in promptly investigating and resolving freight, component, and manufacturing issues while evidence remains available. Failure to notify SheShed within these timeframes may affect SheShed's ability to investigate a claim but does not limit any rights or remedies that cannot be excluded under applicable New Zealand law, including the Consumer Guarantees Act 1993.

Please inspect your cabin and all components as soon as possible after delivery. Visible freight damage should be reported within 48 hours, concealed damage within 7 days, and missing, defective, or incorrect components within 14 days, together with photographs where possible.

Once the cabin has been unloaded or collected, you are responsible for its storage, security, weather protection, and safe handling. If a component is confirmed to be missing, defective, or supplied incorrectly, we may repair it, replace it, or refund its value.

Natural timber variations and minor cosmetic imperfections are normal characteristics of timber and are not considered defects. The reporting timeframes help us investigate issues promptly but do not affect any rights you may have under New Zealand consumer law.

6. Limited Warranty

SheShed provides the original purchaser of the Product with a limited manufacturer's warranty that, if defects in treated timber materials or workmanship arise within five (5) years (sixty months) of receipt of the Product, SheShed will, at its discretion, repair or replace the affected component or defect.

The Customer must notify SheShed in writing of any warranty claim within five (5) years of receipt of the Product. The notice must specify the nature of the claim and include sufficient photographs and supporting information to enable assessment of the alleged defect. Failure to comply with these requirements may affect SheShed's ability to assess and process the warranty claim. Nothing in these Terms excludes, restricts or modifies any rights or remedies available under the Consumer Guarantees Act 1993, Fair Trading Act 1986, or any other applicable New Zealand law. Failure to follow supplied instructions or related information, misuse of the Product, neglect, improper maintenance, or unauthorised alterations may void this Limited Warranty. For the avoidance of doubt, the voiding of this Limited Warranty does not affect any rights or remedies that cannot be excluded under applicable New Zealand law. As a condition of this Limited Warranty, the Product must be completely painted or sealed within six (6) weeks of receipt of the Product. Timber must be dry before painting or sealing. A minimum three-coat breathable coating system must be applied to all exposed timber surfaces, including but not limited to doors, windows, walls, and façade components. This must comprise at least one primer or sealer coat and two topcoats. As an ongoing condition of this Limited Warranty, the Customer must inspect all painted, stained, varnished, or sealed timber surfaces at least every twelve (12) months and carry out any repainting, resealing, touch-up coating, or maintenance reasonably required to maintain adequate protection of the timber from moisture, weathering, ultraviolet exposure, deterioration, and normal wear and tear. Failure to maintain protective coatings in good condition, or failure to carry out reasonable maintenance within a reasonable period after deterioration becomes apparent, may void this Limited Warranty to the extent that the claimed defect, damage, or deterioration results from such lack of maintenance. The Light Reflectance Value (LRV) of any external paint, stain, or varnish must be 40% or higher for this Limited Warranty to apply.

Your cabin includes a 5-year limited warranty covering defects in treated timber materials and workmanship. If you believe there is a warranty issue, please contact us as soon as possible with photographs and details so we can assess the claim.

To keep the warranty valid, the cabin must be painted or sealed within 6 weeks of delivery using a suitable three-coat breathable coating system, and those protective coatings must be inspected and maintained regularly. Damage caused by misuse, unauthorised modifications, failure to follow instructions, or lack of maintenance may not be covered by the warranty.

This warranty is provided in addition to any rights and remedies available to you under New Zealand consumer law.

7. Liability

The Customer indemnifies SheShed and any person or entity entitled to the benefit of these Terms under Clause 13 against any loss, damage, cost, expense, claim, liability, demand, proceeding, or action to the extent arising from:

  1. misuse of the Product;
  2. failure to follow supplied instructions or guidance;
  3. unauthorised modifications or alterations to the Product;
  4. incorrect assembly, installation, maintenance, repair, or use of the Product;
  5. failure to obtain required consents, permits, approvals, certifications, or inspections;
  6. the acts or omissions of the Customer or any contractor, consultant, tradesperson, installer, or service provider engaged by the Customer; or
  7. any breach of these Terms by the Customer.

To the maximum extent permitted by law, SheShed shall not be liable for any indirect, consequential, special, incidental, exemplary, or punitive loss or damage, including loss of profits, loss of business opportunity, loss of revenue, financing costs, project delays, contractor costs, accommodation costs, or business interruption arising out of or in connection with the Product or these Terms.

To the maximum extent permitted by law, and subject always to any rights or remedies that cannot be excluded, restricted, or modified under the Consumer Guarantees Act 1993, Fair Trading Act 1986, or other applicable New Zealand legislation, SheShed's total aggregate liability arising out of or in connection with the Product or these Terms shall not exceed the amount paid by the Customer for the Product.

Nothing in these Terms is intended to exclude, restrict, or modify any rights or remedies that cannot lawfully be excluded, restricted, or modified.

You are responsible for using, installing, maintaining, and modifying the cabin correctly, and for obtaining any required consents or approvals. If problems arise because instructions were not followed, the cabin was modified, approvals were not obtained, or work carried out by you or your contractors causes an issue, you may be responsible for the resulting costs.

Where permitted by law, SheShed's liability is limited to the value of the Product purchased. We are not responsible for indirect losses such as project delays, contractor costs, accommodation costs, financing costs, lost income, or lost business opportunities.

Nothing in this clause limits any rights or remedies that cannot be excluded under New Zealand consumer law.

8. Intellectual Property

All trade marks, trade names, logos, branding, designs, product names, marketing materials, website content, plans, drawings, specifications, assembly instructions, technical information, pricing information, and other intellectual property associated with SheShed remain the property of SheShed or its licensors unless expressly stated otherwise in writing.

The purchase of a Product does not grant the Customer any ownership rights in, or licence to use, any SheShed intellectual property except as reasonably required for the assembly, installation, maintenance, use, and enjoyment of the Product.

The Customer must not reproduce, distribute, publish, modify, sell, commercially exploit, share with competitors, or otherwise use any SheShed intellectual property without SheShed's prior written consent.

Nothing in this clause prevents the Customer from providing plans, drawings, specifications, or related materials to contractors, consultants, councils, engineers, insurers, lenders, or other parties where reasonably required for installation, consent, compliance, financing, insurance, maintenance, or use of the Product.

The SheShed name, branding, website content, plans, drawings, assembly instructions, specifications, and other materials remain the property of SheShed. You may use these materials to build, maintain, insure, finance, and enjoy your cabin, and you may share them with builders, engineers, councils, insurers, and other professionals involved in your project.

However, you may not copy, sell, distribute, modify, or use SheShed's intellectual property to create, promote, or supply competing products without our written permission.

9. No Waiver

No waiver of any provision of these terms and conditions or delay by either party in enforcement of any right hereunder shall be construed as a continuing waiver or create an expectation of non-enforcement of that or any other provision or right.

If we choose not to enforce a particular part of these Terms on one occasion, or if there is a delay in enforcing our rights, that does not mean we have given up those rights permanently. The Terms still apply, and either party may enforce their rights in the future.

10. Severability

In the event any provision herein should be held unenforceable by a court of competent jurisdiction, such court is hereby authorised to amend such provision so that it will be enforceable to the fullest extent permitted by law, and all remaining provisions shall continue in full force without being affected, impaired, or invalidated thereby in any way.

If one part of these Terms is found to be invalid or unenforceable, the rest of the Terms will continue to apply.

11. No Assignment

The Customer may not assign or transfer any rights arising under these Terms or relating to the purchase of a Product without SheShed's prior written consent.

The agreement is between you and SheShed New Zealand. If you want to transfer your order or any rights under these Terms to someone else, you will need our agreement first.

12. Recovery Costs

If the Customer fails to pay any amount due under these Terms and SheShed takes steps to recover the outstanding amount, the Customer shall be liable for all reasonable costs incurred by SheShed in recovering the debt, including debt collection agency fees, legal costs, court filing fees, enforcement costs, and other reasonable recovery expenses to the extent permitted by law.

If an amount owing is not paid and we need to take steps to recover the debt, you may be responsible for the reasonable costs of doing so. This can include debt collection fees, legal costs, court fees, and other reasonable expenses incurred in recovering the outstanding amount.

13. Associated Entities and Service Providers

References to "SheShed", "She Shed", "we", "our", or "us" in these Terms mean Code Group Limited trading as SheShed New Zealand, together with any subcontractor, agent, consultant, freight carrier, installer, service provider, or contractor engaged by Code Group Limited to perform services, deliveries, warranty work, repairs, inspections, installations, or other obligations on its behalf.

Any such person or entity may rely on and enforce any rights, protections, limitations of liability, exclusions, indemnities, and other benefits contained in these Terms.

This clause does not apply to any builder, installer, contractor, tradesperson, consultant, freight carrier, or other service provider engaged directly by the Customer, whether or not they were recommended or introduced by SheShed.

When these Terms refer to "SheShed", this includes Code Group Limited trading as SheShed New Zealand and any freight companies, contractors, technicians, installers, or other service providers that we engage to carry out work on our behalf, such as deliveries, inspections, warranty work, or repairs.

These parties are entitled to the same protections and limitations contained in these Terms when performing work for SheShed.

This does not apply to builders, installers, tradespeople, freight companies, or other contractors that you engage directly, even if they were recommended or introduced by SheShed.

14. Returns

Due to the customised and made-to-order nature of SheShed kitset cabins, returns and refunds are not available for change of mind, incorrect selection by the Customer, change in personal circumstances, delays in obtaining approvals, or for any other reason except as required by applicable New Zealand law. Prior to dispatch of an order, Customers who no longer wish to proceed may contact SheShed to discuss available options. SheShed may, at its sole discretion, offer a store credit in lieu of a refund. Any store credit issued may be subject to administrative, processing, supplier, or other costs already incurred. Once a kitset cabin has been dispatched, delivered, collected, or made available for collection, no returns, refunds, credits, or exchanges will be provided except where required under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other applicable New Zealand law. Nothing in these Terms excludes, restricts, or modifies any rights or remedies that cannot be excluded, restricted, or modified under New Zealand law.

We generally do not offer returns or refunds if you change your mind, order the wrong product, change your plans, or experience delays obtaining approvals. If your order has not yet been dispatched, please contact us to discuss the options available, which may include store credit.

Nothing in this clause affects your rights under New Zealand consumer law.

15. Governing Law and Jurisdiction

These Terms are governed by and shall be construed in accordance with the laws of New Zealand. The parties submit to the non-exclusive jurisdiction of the courts of New Zealand in relation to any dispute arising out of or in connection with these Terms or the Product.

These Terms are governed by New Zealand law. If a dispute arises, it will be dealt with under New Zealand law and through the New Zealand legal system.

16. Transitional Warranty and Legacy Orders

Code Group Limited has traded as SheShed New Zealand since 1 July 2025 following its acquisition of the SheShed New Zealand business assets and brand.

Products supplied before 1 July 2025 may have been supplied by Awarua Enterprises Limited, which previously traded as SheShed New Zealand. Any warranty obligations, liabilities, or responsibilities relating to products supplied by Awarua Enterprises Limited remain the responsibility of Awarua Enterprises Limited unless otherwise required by law.

Nothing in these Terms shall be interpreted as transferring, assigning, assuming, or novating any liability, warranty obligation, debt, claim, or contractual responsibility from Awarua Enterprises Limited to Code Group Limited.

Notwithstanding the above, Code Group Limited may, at its sole discretion, assist customers with enquiries, support requests, replacement parts, communications, or warranty-related matters relating to products supplied before 1 July 2025. Any such assistance is provided as a courtesy only and does not constitute an assumption of liability or acceptance of legal responsibility for any product supplied by Awarua Enterprises Limited.

Code Group Limited has operated as SheShed New Zealand since 1 July 2025. Products supplied before that date may have been sold by Awarua Enterprises Limited, which previously traded as SheShed New Zealand.

Warranty obligations for products supplied before 1 July 2025 remain with Awarua Enterprises Limited. However, as the current owner of the SheShed New Zealand brand, Code Group Limited recognises the importance of supporting the wider SheShed customer community and may, at its discretion, assist customers with legacy warranty enquiries, replacement parts, or other support requests where reasonably able to do so.

Any such assistance is provided as a courtesy and does not transfer or create legal responsibility for SheShed products supplied before 1 July 2025.
